Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and TG Software Pty LTD (ACN 687 191 395) Trading as TaskGuru, an Australian entity registered in New South Wales ("we", "us", "our"). By accessing or using our task management platform (the "Platform", "App", or "Service"), you agree to be bound by these Terms. If you do not agree, please do not use the Service.

Please read these Terms carefully, as they contain important information about your legal rights, remedies, and obligations.

1. Acceptance of Terms

By registering an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. We may amend these Terms from time to time, and will provide reasonable notice of any material changes via email or through the Platform. Your continued use of the Service following such notification constitutes acceptance of the amended Terms.

2. Eligibility and Account Registration

• You must be at least 18 years of age and capable of forming a binding contract under applicable law to use the Service.
• You must provide accurate, current, and complete information during registration and keep your account information updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
• You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
• You may not have more than one active account without our express permission.

3. Service Description and Free Tier

3.1. Service Features

• The Platform allows you to create and manage task boards, tasks, and communicate with collaborators ("Content").
• Core features include:
  • Creating and organizing tasks within boards
  • Assigning tasks to collaborators
  • Setting task deadlines and priorities
  • Communicating with others via chat functionality
  • Marking tasks as complete or in progress
  • Sharing boards with collaborators

3.2. Service Tiers

• Free Plan: Create up to seven (7) boards at no cost with basic features.
• Paid Plans: Additional boards and premium features are available via subscription (see Section 6).
• Feature availability may vary by plan or tier.

3.3. Service Modifications

• We reserve the right to modify, update, or discontinue any aspect of the Service at any time.
• We may add, alter, or remove features without prior notice.
• We will make reasonable efforts to notify users of significant changes to core functionality.

4. User Conduct and Restrictions

4.1. General Conduct

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Upload or distribute any unlawful, infringing, defamatory, offensive, or otherwise objectionable Content.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks.
• Engage in any activity that could disable, overburden, or impair the Service (such as a denial-of-service attack).
• Use automated scripts, bots, or other software to access or scrape data from the Service.
• Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Service.
• Use the Service for or in connection with any illegal activity or restricted activities in violation of any laws, statutes, ordinances, or regulations.

4.2. Task and Board Content

• You are responsible for all content you create within tasks, boards, and associated features.
• You agree not to create tasks or boards that contain:
  • Malicious software or harmful code
  • Excessive or inappropriate data that may overload the system
  • Content that infringes on intellectual property rights of others
  • Content that violates the privacy rights of others

4.3. Communications and Chat Conduct

• You agree to use the chat and communication features responsibly and for legitimate collaboration purposes.
• You will not use chat features to:
  • Harass, bully, intimidate, or threaten other users
  • Send spam, advertisements, or other unsolicited messages
  • Impersonate others or misrepresent your identity
  • Share private information about others without their consent
  • Coordinate activities that violate these Terms or applicable laws

4.4. Collaboration Features

• You will respect the access permissions and privacy settings established for shared boards and tasks.
• You will not attempt to access boards or tasks to which you have not been invited.
• You will only invite others to collaborate on your boards who you reasonably believe will comply with these Terms.

We reserve the right to terminate or suspend your account if we reasonably suspect that you are using the Service in a manner inconsistent with these Terms.

5. Intellectual Property and User-Generated Content

5.1. Our Intellectual Property

The Service, including its underlying technology, features, functionality, and all content provided by us (excluding your Content), are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service, our trademarks, logos, or other intellectual property.

5.2. Your Ownership

• You retain all right, title, and interest in and to the Content you create, including tasks, boards, notes, chat messages, chat history, and any other materials.

5.3. License to TaskGuru

By posting or submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to:

1. Use, reproduce, adapt, modify, publish, translate, distribute, and display your Content solely as necessary to operate, provide, and improve the Service.
2. Aggregate and anonymize your Content for analytics and research purposes.
3. Use your Content to train, develop, and improve machine learning or artificial intelligence models.

We will treat your Content as private and will not disclose personally identifying information except as required by law or as outlined in our Privacy Policy.

5.4. User Communications and Chat Features

• Chat features are provided for communication between authorized collaborators on tasks and boards.
• You are solely responsible for all content and communications you send through the Service.
• You agree not to use chat features to harass, abuse, or send spam or other unsolicited messages to others.
• While we respect the privacy of your communications, we are not obligated to monitor or review chats and messages between users.
• We reserve the right to access, review, and remove any content or messages that violate these Terms or applicable laws.

5.5. Content Moderation

• We reserve the right to review, filter, modify, or remove any Content that violates these Terms or is otherwise objectionable, in our sole discretion.
• We may use automated systems and/or human reviewers to moderate Content.
• We are not obligated to monitor the Service or Content but may do so to ensure compliance with these Terms.

5.6. Feedback

If you provide feedback, ideas, or suggestions regarding the Service ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation or attribution to you.

6. Pricing, Subscriptions, and Payment

• All pricing is published on our Pricing Page and may be updated from time to time with reasonable notice.
• Subscription Plans:
  • Monthly Plan: Billed monthly in advance.
  • Annual Plan: Billed annually in advance, includes a 14-day money-back guarantee.
• Payments are processed securely through Stripe or other payment processors we may use.
• You agree to provide current, complete, and accurate billing information and authorize us to charge the payment method provided for all subscribed services.
• Fees are non-refundable except as expressly stated in these Terms.
• We may change subscription fees with 30 days' advance notice. Fee changes will take effect at the start of the next billing period.

7. Refund Policy

7.1. Annual Subscriptions

• Full refund if canceled within 14 days of initial purchase.
• After 14 days, a pro-rata refund for unused full months, rounded down, with access continuing until the end of the current billing month.

7.2. Monthly Subscriptions

• Full refund if canceled within 3 days of the start of the billing cycle, with access until month-end.
• Cancellations after 3 days do not receive a refund; service remains active until the end of the paid period and does not renew.

7.3. Post-Cancellation Free Tier

• Upon cancellation, boards exceeding the free limit of seven (7) will be hidden.
• You may continue using up to seven (7) boards at no cost.

8. Data Processing, Retention and Privacy

8.1. Data Processing and Storage

• We collect, store, and process data necessary to provide the Service, including tasks, boards, and chat messages.
• Task data and chat messages are stored on our secure servers and may be cached locally on your device.
• When you collaborate with others, your task data and chat messages are shared with authorized collaborators.
• We collect analytics data about your usage of the Service to improve functionality and user experience.

8.2. Data Retention

• We retain your task boards, task data, and chat history for at least 90 days after creation; older data may be archived or deleted according to our data retention schedule.
• Completed tasks may be archived but remain accessible within the Service.
• After downgrading or cancellation, Content exceeding the free tier limits is retained but inaccessible unless you re-subscribe.
• Deleted Content may remain in our backup systems for a reasonable period before being permanently deleted.

8.3. Privacy and Security

• We collect and use your information in accordance with our Privacy Policy.
• We implement reasonable technical, administrative, and physical safeguards to protect your data.
• We cannot guarantee absolute security or that unauthorized third parties will never be able to defeat our security measures.
• You are responsible for backing up your Content, and we are not liable for any loss of data.
• We will notify you of any security breach affecting your personal data as required by applicable law.

8.4. Task and Chat Data

• Task data including descriptions, assignments, deadlines, comments, and attachments are stored and processed to provide the Service.
• Chat messages between users are stored to maintain conversation history and enable collaboration.
• You control who can access your boards, tasks, and associated chat messages through the collaboration settings within the Service.

9. Electronic Communications

• By using the Service, you consent to receive communications from us electronically.
• All communications, agreements, notices, and other documents will be provided to you electronically via email or by posting them on the Service.
• You agree to maintain a valid email address and keep it updated in your account settings.
• Communications sent to the email address associated with your account will be deemed to have been received by you.

10. Account Security

• You are responsible for maintaining the security of your account, including but not limited to:
  • Maintaining security over your sign-in details and passwords
  • Using strong, unique passwords and enabling two-factor authentication where available
  • Keeping your contact details up to date
  • Logging out from devices when not in use
• We shall have no liability for unauthorized access to your account where such access was not due to our fault.
• You accept responsibility for all activities that occur under your account.

11. Third Party Services

• The Service may integrate with third-party services, websites, or resources.
• We are not responsible for the content, privacy practices, or availability of such third-party services.
• Your interactions with third-party services are governed by their terms of service and privacy policies.
• We do not endorse and are not responsible for any third-party content, advertising, products, or services.

12. Modification and Suspension

• We may modify, update, or discontinue any aspect of the Service at any time.
• We will provide reasonable notice of material changes to the Service or these Terms.
• We may suspend or terminate your account if you violate these Terms or for any reason, with or without notice.
• In case of suspension or termination, we may, but are not obligated to, provide you with access to your Content.

13. Disclaimers and Limitation of Liability

13.1. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and all warranties arising from course of dealing, usage, or trade practice.

We do not warrant that the service will be uninterrupted, error-free, or completely secure, or that any data will be completely secure or not otherwise lost or altered.

13.2. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall we, our affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of or inability to use the service.

Our total liability for any claim arising out of or relating to these terms or the service shall not exceed the greater of $100 or the amount paid by you to us during the six (6) month period preceding the event giving rise to the liability.

The limitations of damages set forth above are fundamental elements of the basis of the bargain between you and us.

14. Indemnification

You agree to defend, indemnify, and hold harmless TaskGuru, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Service.

15. Termination

• You may terminate these Terms at any time by canceling your account and ceasing all use of the Service.
• We may terminate or suspend your access to the Service at any time, for any reason, and without advance notice.
• Upon termination, your right to use the Service will immediately cease.
• All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, civil unrest, labor disputes, network or power failures, and governmental actions.

17. Assignment

• You may not assign or transfer these Terms or your account without our prior written consent.
• We may assign or transfer these Terms, in whole or in part, without restriction or prior notice.
• These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

18. Governing Law and Dispute Resolution

• These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict of law provisions.
• Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
• Before commencing any formal proceedings, parties agree to attempt to resolve any disputes through a mediation process.
• Any cause of action you may have arising out of or relating to these Terms or the Service must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

20. Entire Agreement

These Terms, together with any other legal notices and agreements published by us via the Service, constitute the entire agreement between you and us concerning the Service and supersede all prior terms, agreements, discussions, and writings regarding the subject matter contained herein.
